Executive Summary

Platform Role: ClubProperty.com is a digital infrastructure provider (Platform). We are not a broker, agent, or party to any transaction.
Compliance: Users are solely responsible for compliance with applicable provisions of the Swiss Code of Obligations (OR), including current and forthcoming disclosure and defect notification obligations.
Liability: ClubProperty excludes all liability for investment outcomes, financial metrics, or third-party content to the maximum extent permitted by Swiss law.
Jurisdiction: Exclusive jurisdiction is the registered office of ACQIRE AG in the Canton of Schwyz, Switzerland.

1. Scope and Nature of the Platform

ClubProperty.com (“ClubProperty” or the “Platform”) is a professional real estate investment marketplace operated by ACQIRE AG. The Platform provides a specialized environment for property owners, investors, and verified professionals (“Users”) to:

Discover and present real estate assets and portfolios.
Exchange data and manage deal pipelines.
Access a curated ecosystem of industry specialists.

ClubProperty expressly does not:

Act as a real estate broker, intermediary, or fiduciary.
Become a party to any sales or lease contracts.
Verify the physical or legal status of listed assets.

2. No Offer, No Advice, No Reliance

All content, including yield projections, Cap Rates, and market intelligence, is provided for informational purposes. Nothing on the Platform constitutes a binding offer, a solicitation of securities, or professional investment/tax advice.

Independent Diligence: Users are required to conduct their own independent due diligence.
No Warranty: ClubProperty does not warrant the accuracy of financial metrics (e.g., IRR, ROI) provided by Users.

3. Registration and Professional Eligibility

Access is restricted to natural or legal persons with full legal capacity.

Commercial Use: Users acting in a professional capacity must register a commercial account.
Account Integrity: Accounts are non-transferable. Users must safeguard credentials and are liable for all activity under their account.

4. User Content and Statutory Disclosure Obligations

Users warrant that all uploaded data is accurate and compliant with Swiss and international laws.

Defect Disclosure: In accordance with applicable provisions of the Swiss Code of Obligations (OR), including current and forthcoming disclosure and defect notification obligations, sellers of residential or commercial assets must truthfully disclose all known defects.
License: Users grant ClubProperty a non-exclusive, worldwide, royalty-free license to use uploaded imagery and data for the operation and promotion of the Platform.

5. Permitted Use and Lex Koller Compliance

Users agree to use the Platform for lawful, professional purposes only.

Foreign Acquisition: Buyers and Sellers are solely responsible for compliance with the Federal Law on the Acquisition of Real Estate by Persons Abroad (Lex Koller).
Prohibited Acts: Market manipulation, artificial price inflation, and unauthorized data harvesting are strictly prohibited and may result in suspension or termination without notice.

6. Fees and Professional Services

Listing Fees: Basic asset listing is currently free of charge.
Modifications: ACQIRE AG reserves the right to introduce fees for premium placement or “Verified Professional” status with 30 days’ notice via email or Platform notification.

7. Verification and Partner Network

The “Verified” status of any Partner or User indicates a basic credential check has been performed. It does not constitute a guarantee of performance or a recommendation by ACQIRE AG. Users interact with Partners at their own risk.

8. Limitation of Liability

To the maximum extent permitted by Art. 100 of the Swiss Code of Obligations (OR):

ClubProperty excludes all liability for direct, indirect, or consequential damages.
ClubProperty is not liable for system outages, data loss, or the outcome of negotiations between Users.
Liability for intent or gross negligence remains unaffected.

9. Intellectual Property

The Platform’s software, design, and “ClubProperty” branding are the exclusive property of ACQIRE AG. Users may not block, overwrite, or modify Platform content or infrastructure.

10. Indemnification

Users agree to indemnify ACQIRE AG against all third-party claims arising from their content, conduct, or violation of these Terms. This includes reasonable legal and court costs.

11. Amendments and Termination

ACQIRE AG may amend these Terms with effect for future use of the Platform. Continued use of the Platform constitutes acceptance of the updated Terms. ACQIRE AG reserves the right to suspend or delete accounts that pose a reputational or security risk.

12. Governing Law and Jurisdiction

These Terms are governed exclusively by Swiss Law. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.

Exclusive Place of Jurisdiction: The registered office of ACQIRE AG (Canton of Schwyz, Switzerland).
